HIMMA Foundation Corporate Governance

Governance in the charity sector refers to the systems and processes for managing the overall direction, effectiveness, supervision and accountability of the organisation. As Community, Voluntary and Charitable (CVC) organisations working for public benefit, charities are accountable to the public and have a responsibility to provide and follow a code of good practice when it comes to how their organisations are run. It is the responsibility of the executive and advisory directors of the organisation to make sure this happens.

HIMMA Foundation knows that Good governance is increasingly an important criterion for the public and stakeholders to decide whether to donate or volunteer their services to a charity. As such, the board of the Foundation takes very seriously our responsibility to implement good governance practices for the effective performance and operation of the charity.

In addition to the requirements placed on the Foundation as an orgainsation registered under Part C of the Companies and Allied matters Act 1990, Himma Foundation prioritises effective and transparent corporate processes in delivering our goals with integrity.

To that end, HIMMA has adopted a voluntary code of corporate governance. The Code operates on the principle of ‘comply or explain’. The Code covers: · Board Governance · Conflict of Interest · Strategic Planning · Programme Management · Human Resource Management · Financial Management and Controls · Fundraising Practices · Disclosure and Transparency · Public Image

After approval and in line with the requirements of the law, Himma Foundation voluntary code of corporate gvernance will be published alongside the Foundation's annual report to be filed with the Corporate Affairs Commission in September 2016.
